Notice Regarding the Guaranty of Liabilities of Ocwen's Former Savings Bank

On June 30, 2005, Ocwen Financial Corporation (“OFC”) concluded various transactions to effectuate the transfer of its loan servicing business and related businesses from Ocwen Federal Bank FSB (the “Bank”) to Ocwen Loan Servicing, LLC (“OLS”) and the dissolution of the Bank. The transactions included the transfer of the Bank’s branch facility in Fort Lee, N.J, including deposit liabilities associated therewith, to Marathon National Bank of New York, and the assignment by the Bank of its remaining assets, liabilities and businesses to OLS, a wholly-owned subsidiary of OFC. Following the conclusion of these transactions, OFC returned the Bank’s original federal Savings Bank charter to the Office of Thrift Supervision.

In connection with the foregoing transactions, OFC executed a written Guaranty and related Cash Collateral and Collateral Trust Agreements. OFC entered in the Guaranty to demonstrate its commitment to ensuring that the Bank’s obligations that remain after its dissolution will be satisfied. Under the Guaranty, OFC guarantees the punctual payment when due of all of the liabilities assumed by OLS from the Bank.

Any holder of a claim with respect to the liabilities assumed by OLS from the Bank that wishes to make a claim under the Guaranty should provide a true, correct and complete Certificate of Demand to both OFC and the Bank of New York (“BONY”), which is the Collateral Trustee under the Cash Collateral Agreement. The Certificate of Demand must be in the form set forth in the Collateral Trust Agreement and sent to each of OFC and BONY at the following addresses:

Following receipt of the Certificate of Demand, BONY may request certain certifications or documentation evidencing the claim. In order to receive payment for any claim, the claimant must have an unpaid and unsatisfied, or partially paid or satisfied, claim that is a present right to payment from the Bank or OLS and is currently due and payable.
